1. Agreement to Terms

By downloading, installing, or using the GreenFolio mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and GreenFolio ("we," "us," or "our") regarding your use of the App.

2. Description of Service

GreenFolio is a mobile application designed for rare plant collectors to manage their plant collections. The App provides features including but not limited to:

  • Plant collection tracking and inventory management
  • Photo documentation and growth journaling
  • Portfolio valuation and financial analytics
  • Lineage and propagation tracking
  • AI-powered plant identification
  • Cloud synchronization across devices
  • Seller's certificate generation

3. Account Registration

3.1 Account Creation

To access certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

4. Subscription and Payments

4.1 Free and Premium Tiers

The App offers both free and premium subscription tiers. Free users have access to basic features with certain limitations. Premium subscribers unlock additional features including unlimited plants, cloud sync, advanced analytics, and more.

4.2 Subscription Terms

Premium subscriptions are billed on a monthly or annual basis through your app store account (Apple App Store or Google Play Store). Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your app store account settings. Refunds are handled according to the policies of the respective app store. We do not directly process refunds.

4.4 Price Changes

We reserve the right to change subscription prices. Price changes will be communicated in advance and will apply to the next billing cycle after the change.

5. User Content

5.1 Ownership

You retain all ownership rights to the content you create or upload to the App, including photos, plant data, and notes ("User Content"). By using the App, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the App's services.

5.2 Responsibility

You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights to use and authorize us to use your User Content.

5.3 Prohibited Content

You agree not to upload or share content that:

  • Violates any applicable laws or regulations
  • Infringes on intellectual property rights of others
  • Contains malware, viruses, or harmful code
  • Is fraudulent, deceptive, or misleading
  • Promotes illegal activities

6. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the App in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with or disrupt the App's servers or networks
  • Reverse engineer, decompile, or disassemble the App
  • Use automated scripts to collect information from the App
  • Impersonate another person or entity
  • Use the App for any commercial purpose without our consent

7. Intellectual Property

7.1 Our Rights

The App and its original content (excluding User Content), features, and functionality are owned by GreenFolio and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Trademarks

"GreenFolio" and associated logos are trademarks of GreenFolio. You may not use our trademarks without our prior written consent.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us the right to use such feedback without any obligation to compensate you.

8. AI Features and Plant Identification

The App includes AI-powered plant identification features. While we strive for accuracy, AI identifications are provided for informational purposes only and should not be relied upon as definitive botanical identifications. We are not responsible for any errors in AI-generated content.

Important: AI identification should not be used to determine if a plant is safe for consumption or handling. Always consult with qualified experts for such determinations.

9. Valuation Disclaimer

Any plant valuations, market values, or portfolio estimates provided by the App are for informational purposes only and should not be considered as professional appraisals or financial advice. Actual plant values may vary significantly based on market conditions, buyer preferences, and other factors.

We do not guarantee the accuracy of any valuation data and are not responsible for any financial decisions made based on App-provided estimates.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant the accuracy or completeness of any information provided through the App.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GREENFOLIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

Our total liability for any claims arising from or related to these Terms or the App shall not exceed the amount you paid us, if any, for access to the App during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless GreenFolio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of another.

13. Third-Party Services

The App may contain links to or integrations with third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms in the App or on our website. Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GreenFolio operates, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
